MESSAGE FROM THE PRESIDENT

Chiyoda Philippines Corporation (CPh) is a wholly-owned subsidiary of Chiyoda Corporation in Yokohama, Japan along with other associated group of companies comprising the Chiyoda Group. Chiyoda Group is one of the largest global engineering and construction companies that delivered various major projects worldwide such as Oil & Gas, Petrochemical, Smelter Plants, New Energy and Life Science, etc., in pursuit of its Corporate Philosophy “Energy and Environment in Harmony.” CPh is the major “Engineering Arm” of Chiyoda Corporation providing high quality design and reliable engineering services to major overseas projects for 30 years since its establishment in 1995. Alongside, CPh has completed projects in the Philippines through engineering design, procurement service and construction management in the field of oil and gas, power generation, mining, industrial and chemical industry.

The Energy industry fast-paced transformation is very evident due to various changes in the world situation. HISTORY

PROFILE

Chiyoda Philippines Corporation (CPh), one of the major affiliates of Chiyoda Corporation (Yokohama, Japan), is a global engineering service contractor primarily engaged in detail design of various plants and facilities mostly gas processing and LNG plants. Chiyoda Philippines Corporation (CPh) was formerly known as C&E Corporation, a joint venture company which merges the leading-edge engineering design know-how of Japan's world-renowned engineering company, CHIYODA CORPORATION and the industrial construction capabilities and fabrication expertise of Philippines' EEI CORPORATION.

Chiyoda Group Code of Conduct

CPh being member of Chiyoda Group adheres to the Code of Conduct of the Chiyoda Group which states, as follows:

All business activities are based on earning the trust and understanding of society and clients. To ensure that our business activities conform to social standards, we fully comply with all applicable domestic and international laws and regulations as well as our own rules, and conduct business activities in accordance with the following principles.

To earn the trust of clients by constantly improving quality in order to supply useful facilities and services.
To do business with transparency, free competition and fairness in order to earn the trust and understanding of society and clients concerning our corporate activities.
To maintain strong lines of communication not only with shareholders and other stakeholders but also with society at large, and to disclose corporate information willingly and fairly.
To recognize that helping to solve environmental issues is an essential part of our business activities as an engineering CPh, and to contribute to society while cooperating with governments and their agencies.
To reject all contact with anti-social organizations and never offer these organizations any benefits.
To handle personal information and client information with utmost care and attention and use intellectual property in an appropriate manner without infringing on the owner's intellectual property rights.
To draw a line between official CPh activities and private activities, and never take any action that would be detrimental to the CPh.
To respect the human rights of all people. Also, to respect the diversity, individuality and character of employees and endeavor to ensure employees' health and safety by providing a suitable working environment.
Senior management shall recognize that implementing the spirit of this code is their responsibility, and shall make related parties aware of this code by setting an example through their leadership. Senior management shall also heed the voice of stakeholders, both internally and externally, and take initiatives to solve the issues violating the Code of Conduct and strive to establish an effective framework for implementing these principles.

CPh Code of Conduct and Discipline

CPh promotes business ethics, compliance to laws, rules and regulations, standards, order, discipline and harmony among employees in order to achieve efficiency in its operations, and in doing so ensures that each employee observe decorum and comply with the CPh Code of Conduct.

The Code of Conduct and Discipline (hereinafter referred to as the “Code”) covers all employees, officers and the top management of Chiyoda Philippines Corporation regardless of employment status (hereinafter referred to as “Employees”) within the CPh premises, on jobsites, and while undertaking official duties outside the CPh premises.

It shall likewise apply during non-CPh time and to areas outside the CPh premises if it concerns the work of an employee, directly or indirectly affects their work with CPh, involves CPh property or interest, or the cause of actions is traceable to the superior-subordinate or employer-employee relationships.

All employees are expected to demonstrate responsible, professional and ethical behavior, to follow consistently, live the principles of the Code and to do the right thing in the daily operation of CPh as a company and as individual employees. Any violation on the provisions of the Code has corresponding penalties subject to due process, rules and regulations of the Code and the implementing rules of the Labor Code.

The Code does not preclude CPh Management the application of other rules, conduct, legal or regulatory provisions applicable to CPh business and activities as it is not exhaustive and cannot anticipate every situation or provide definitive course of action or answers to all questions that may arise.

Chiyoda Philippines Corporation (CPh) is committed to protect and respect personal data privacy in accordance with the Data Privacy Act of 2012, rules and regulations and other applicable laws.

This policy sets out how we may collect, process, file, share and retain personal data whether in standard manual, digital or computerized methods and systems that is in accordance with the general privacy principles, legitimate purposes, and as required by law.

Purpose and Use of Collected Personal Data
